
TERMS AND CONDITIONS
This agreement (“Agreement”) is entered into between Blake Roberts Consulting, an Integrated Auxiliary of the Somatic Sanctuary Trust (the “Coach”), a faith-based organization dedicated to healing, empowerment, and spiritual growth, and the “Client”. By signing an Agreement, the Client agrees to the following terms:
I. Nature of Services
Blake Roberts Consulting operates as an Integrated Auxiliary of the Somatic Sanctuary Trust, committed to advancing its mission of healing, empowerment, and spiritual growth. Through faith-based somatic coaching, the Coach provides guidance and techniques designed to support self-awareness, personal development, and emotional well-being. Services may include talking, goal setting, problem solving, prayer, energy work, and the laying of hands (bodywork), when aligned with the faith-based mission of the organization. While sessions are primarily conducted online as stated in the Terms and Conditions, when both parties mutually agree and circumstances allow, session time may be conducted in person.
II. Voluntary Participation and Consent
The Client affirms they are of sound body and mind and voluntarily consents to participation in coaching sessions. They understand that they may at any time discontinue participation. The Client acknowledges they are solely responsible for their well-being and the outcomes of the coaching process.
III. Session Pricing and Policies
Session pricing, cancellation policies, and other relevant terms are outlined in this document. The Client must review and agree before services commence.
IV. Breakthrough Sessions
Sessions occur twice monthly over video conference and are each 2 hours. Client agrees to arrive resourced and ready. Client agrees to take the call in a space Client is free to audibly express without alerting roommates or neighbours. If no such space is available, client agrees to arrive with pillows that make their full somatic expression possible.
V. Telegram Support
Text message support is offered weekly. Client may ask for guidance, clarity, and support. Client agrees to make messages clear, concise, and complete -- giving Coach all necessary information to adequately understand and respond. Each week Client may send one message. Client agrees to never demand or expect a particular outcome of support; Coach is free to respond in the way he deems best. Coach will respond as soon as possible, often immediately, and not exceeding 72 hours past message receipt.
VI. Confidentiality
Personal details shared within the container are confidential except at the risk of Client’s harm to self or others. Personal information, session happenings, Coach’s techniques and other intellectual property may only be shared with consent from the other party. The Coach may share session themes and happenings only when client identity is held confidential and will not disclose personally identifiable information without the Client’s explicit consent, except where required by law. Confidential materials and information exist only within the timeframe of the coaching container.
VII. Non-Disclosure Agreement (NDA)
The Client agrees to maintain confidentiality regarding any proprietary techniques, methodologies, or philosophies shared during coaching sessions. The Client may not reproduce, teach, share, or otherwise disseminate these techniques without the Coach’s explicit written permission. Examples of NDA Breaches Include:
- Sharing session methodologies in any format (verbal, written, or digital) without consent.
- Teaching or demonstrating the Coach’s techniques to others.
- Publishing content that directly describes the Coach’s proprietary work, without consent.
Penalty for Breach:
- An initial penalty fee of $5,000 for each breach.
- An additional $1500 per day fee for every day the breach stands uncorrected after receipt of a cease-and-desist letter.
To correct the breach, the Client must retract and/or remove the content, issue a public apology, and acknowledge it as indecent and incorrect. This clause is binding for the lifetime of the Client.
VIII. Non-Disparagement
The Client agrees not to make any false, misleading, or disparaging statements about the Coach, their services, or the Somatic Sanctuary Trust, either publicly or privately. Examples of Non-Disparagement Breaches Include:
- Negative online reviews with false information.
- Defamatory statements to third parties about the Coach or their services.
Actions or communications with the intent to harm the Coach Penalty for Breach:
- An initial penalty fee of $5,000 for each breach.
- An additional $1500 per day fee for every day the breach stands uncorrected after receipt of a cease-and-desist letter.
To correct the breach, the Client must retract and/or remove the content, issue a public apology, and acknowledge it as indecent and incorrect. This clause is binding for the lifetime of the Client.
IX. Personal Responsibility
The Client assumes responsibility for all Client choices during and after the coaching container and any/all impact the container may have. The Client agrees that coaching sessions are client-led. The Coach may provide suggestions and techniques, but the Client retains full responsibility for how they engage with and implement those suggestions.
X. Respect and Clear Communication
The Client commits to communicating clearly and directly any feedback necessary to inform the Coach how to best support Client’s experience.
XI. Success Stories
The Coach reserves the right to use anonymised success stories derived from Coach’s session experience for marketing, educational, or promotional purposes. These stories will be shared in the Coach’s own words and will not include the Client’s name or any identifiable personal details.
XII. Acknowledgment of Progress
The Client agrees to complete 2 documents: the personal inventory and intake (container onset) and the container completion/ reflection document (container close). The former prepares the Coach and Client for the container; the latter integrates container insights and achievements and makes plans for sustaining post-container growth.
XIII. Bonuses
If and when the Client wants to enjoy any bonuses or referrals or possible coaching via a referred practitioner, that additional experience will occur outside this arrangement and within new agreements, terms, and conditions agreed upon with the new coach/coaches. Coach is indemnified from liability.
XIV. Guarantees
Coach makes no guarantees or warranties regarding the outcome of the coaching process. The Client understands that results are based on individual effort, commitment, and personal circumstances. Success or progress in the coaching relationship cannot be assured, and any statements or testimonials provided are not to be interpreted as guarantees of results.
XV. Rescheduling
The Client may reschedule 24 hours before the appointment time unless in an emergency. If it happens outside this window and with consistency, it is at the Coach’s discretion to consider the session forfeit.
XVI. Tardiness
If the Client is late to the appointment, the Coach will have to end the session early. Tardiness exceeding fifteen minutes will necessitate a reschedule.
XVII. Reviews and Testimonials
Any reviews, testimonials, or feedback provided by the Client about the coaching experience become the sole property of the Coach. The Client agrees that such feedback may be used by the Coach for marketing purposes without any additional permission. The Client acknowledges that once provided, reviews cannot be retracted or altered.
VIII. Liability Waiver
The Client understands and agrees that the Coach is not liable for any physical, emotional, or psychological harm resulting from participation in coaching sessions. The Client releases the Coach and the Somatic Sanctuary Trust from all liability and agrees not to pursue legal action.
XIX. Indemnification
The Client agrees to indemnify and hold harmless the Coach and the Somatic Sanctuary Trust from any claims, damages, liabilities, or expenses (including legal fees) arising out of the Client’s participation in coaching services.
XX. Force Majeure
The Coach shall not be held liable for failure to perform due to events beyond their reasonable control, including but not limited to natural disasters, acts of government, or other unforeseen events.
XXI. Severability Clause
If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
XXII. Entire Agreement Clause
This Agreement, along with the Terms and Conditions, constitutes the entire agreement between the parties and supersedes all prior discussions or understandings.
XXIII. Age Verification
The Client affirms they are at least 18 years old or the age of majority in their jurisdiction.
XXIV. Intellectual Property Rights
All techniques, materials, and methodologies provided by the Coach remain the exclusive intellectual property of Blake Roberts Consulting and the Somatic Sanctuary Trust. The Client receives a non-transferable, non-exclusive license to use these materials solely for personal use during the coaching relationship.
XXV. Electronic Signatures
The Client agrees that electronic signatures are as legally binding as handwritten signatures and will be recognized as valid consent to this Agreement.
XXVI. Arbitration and Jurisdiction
Any disputes arising under this Agreement will be resolved through Fair Claims Arbitration.The parties agree to binding arbitration, with jurisdiction and governing law in the State of Oregon.
XXVII. Termination of Services
Either party may terminate this Agreement at any time. If terminated by the Client, no refunds will be provided for completed sessions.
XXVIII. Acknowledgment and Understanding
By signing, the Client affirms they have read, understood, and agreed to the terms of this Agreement. They acknowledge the services provided are faith-based and not professional medical or psychological treatment
XXIX. Changes to These Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. By continuing to use the Services after changes are posted, you agree to be bound by the revised Terms.
XXX. Termination
We reserve the right to suspend or terminate your access to the Services at our sole discretion, without prior notice, for any reason, including but not limited to violations of these Terms. Upon termination, your right to use the Services will immediately cease, and any licenses granted will be revoked.
XXXI. Third Party Links
Our Services may contain links to third-party websites or services. We are not responsible for the content, terms, or practices of those third-party sites. Access them at your own risk.
XXXII. Payments and Refunds
Certain Services may require payment. All applicable fees are described on our website or in related agreements. By purchasing any Services, you agree to provide accurate payment information and authorize us or our payment processors to charge you for the specified fees. Refunds are not issued.
